The Company is not responsible for delays, errors, or unsuitable sourcing outcomes resulting from incomplete or incorrect information supplied by the Client.
5. Quotations and Pricing
All pricing indications are subject to confirmation by Suppliers and may change due to:
- Exchange rates
- Shipping costs
- Duties and taxes
- Specification changes
- Supplier price adjustments
Quotes are typically time-limited. No quotation is binding until confirmed in writing by the relevant supplying party.
6. Orders and Contracts
Where the Company acts as broker only, the purchase contract may be formed directly between Client and Supplier. In such cases, the Supplier’s terms and conditions will apply to the sale of goods.
Where the Company contracts directly with the Client for supply, written terms of sale will be issued and must be accepted before order placement.
7. Payments and Fees
Brokerage, sourcing, or coordination fees may apply and will be disclosed in writing. Fees may be structured as:
- Fixed service fees
- Percentage-based procurement fees
- Supplier-paid commissions
- Combined structures
Unless otherwise agreed, fees are non-refundable once sourcing or coordination work has commenced.
8. Delivery and Logistics
Delivery times are estimates only and not guaranteed. The Company is not liable for delays caused by:

- Freight carriers
- Ports and customs authorities
- Regulatory inspections
- Force majeure events
Risk transfer points depend on the agreed Incoterms or contract structure and will be defined in transaction documents where applicable.
9. Compliance and Certification
Clients are responsible for ensuring that purchased machinery or equipment is suitable for intended use and meets UK operational and regulatory requirements. While the Company may assist with documentation and supplier representations, final compliance responsibility rests with the purchaser and/or manufacturer.
10. Warranties and Product Liability
Product warranties, where offered, are provided by the Supplier or manufacturer, not by the Company, unless expressly stated. The Company does not manufacture equipment and does not provide independent product warranties.
All warranty claims must be directed through the appropriate supply channel.
11. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for:
- Indirect or consequential losses
- Loss of profit or revenue
- Business interruption
- Operational downtime
- Third-party performance failures
Total liability for any claim relating to services shall not exceed the fees paid to the Company for the specific service engagement giving rise to the claim.
Nothing in these terms excludes liability where exclusion is not permitted by law.
12. Third-Party Suppliers
The Company is not responsible for the acts, omissions, performance, or solvency of third-party Suppliers. Supplier selection is based on available information and commercial judgement but cannot be guaranteed.
Clients are encouraged to conduct their own due diligence where appropriate.
13. Intellectual Property

14. Confidentiality
Commercial information shared by Clients will be treated as confidential and used only for sourcing and procurement purposes, except where disclosure is required by law or necessary to fulfil supplier enquiries.

16. Acceptable Use
Clients and users must not:

- Misrepresent purchasing authority
- Attempt to bypass agreed brokerage structures after supplier introduction
- Use Company introductions to avoid agreed fees
The Company reserves the right to withdraw services where misuse occurs.
17. Termination
The Company may decline or terminate service engagement where:

- Compliance risks arise
- Commercial terms cannot be agreed
- Abuse or misconduct occurs
Outstanding fees remain payable for work already performed.
